Terms of Use

"AUTHORIZED USE" of VeriGuide™

VeriGuide™ is developed and operated by The Chinese University of Hong Kong ("University") to provide a textual similarity check against work submitted by students. The similarity check will be performed against: (i) VeriGuide™'s internal database of student assignments that you have submitted to VeriGuide™ ("VeriGuide™ Database"); (ii) free Internet resources through search engines ("Internet Resources"); and (iii) certain subscription-based online journals and periodicals ("Online Journals") that you have subscribed for VeriGuide™, if any. The originality report generated by VeriGuide™ is intended as a general reference only.

Qualifications for Users and Conditions of Use

VeriGuide™ is only available to Subscribers who have registered with the University and paid the subscription fee ("VeriGuide™ Users").

Registration

You will log into the members' section of VeriGuide™ with the username ("Username") and password ("Password") assigned specifically to you after registration. You are responsible for providing us accurate and complete Username and Password information and advising us promptly of any change. University, however, reserves the right to terminate or suspend your access to VeriGuide™ without notice at its own discretion.

Login ID and Password

You shall be responsible for the confidentiality and use of the Username and Password. If you suspect that someone may have obtained access to the Password or made any unauthorized use of the Password, you undertake to notify University as soon as possible. University may refuse your access to VeriGuide™ until University is satisfied that security has been re-established.

Intellectual Property Rights

The content, data, reports, organization, graphics, design, compilation, translation, digital conversion and other matters related to VeriGuide™ are owned by University, its licensors or respective owners and are protected under all applicable copyrights, database rights, trade marks, patent and other proprietary (including but not limited to intellectual property) rights which may exist now or in the future. Any copying, redistribution, use or publication by you of any such matters or any part of VeriGuide™, except as allowed by the section entitled "Limited Right to Use" below, is strictly prohibited. You do not acquire ownership rights to any content, data, reports, document or other materials viewed through VeriGuide™. The posting of data, information or materials on VeriGuide™ does not constitute a waiver of any right in such data, information and materials.

Limited Right to Use

The viewing, printing or downloading of any content, data, reports, graphic, form or document from VeriGuide™ grants you only a limited, non-exclusive license for the AUTHORIZED USE solely by you and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content, data, reports, graphic, form or document may be reproduced in any form or incorporated into any information retrieval system or database, electronic or mechanical, other than for your internal use (but not for resale or redistribution).

You may only use VeriGuide™ in connection with classes offered in your own curriculum to your own students ("Students") for the purpose of submitting your Students' work ("Student Work") for textual similarity check. You shall not rent, lease or provide access to or benefit from VeriGuide™ to any other institution or individual.

No Responsibility for Errors or Inaccuracies

University does not warrant that VeriGuide™ will be uninterrupted or error free. University is not responsible for errors or other inaccuracies in the content, data or information provided in VeriGuide™, VeriGuide™ Database, Internet Resources, Online Journal and/or Reports (as defined below). University intends the content, data or information contained in VeriGuide™, VeriGuide™ Database, Internet Resources, Online Journal and/or Reports (as defined below) to be accurate and reliable. However errors may occasionally occur. Therefore, all information and materials are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind. TO THE FULLEST EXTENT LEGALLY PERMISSIBLE, UNIVERSITY DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, REGARDING ANY MATTER WHATSOEVER RELATING TO OR REFERENCED BY VeriGuide™, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT WILL UNIVERSITY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF VeriGuide™ AND THE CONTENT, DATA OR INFORMATION CONTAINED IN VeriGuide™, VeriGuide™ Database, Internet Resources, Online Journal AND/OR Reports.

Users' Own Responsibility

To use VeriGuide™, you are required to submit the Student Work to University by way of electronic copies in Microsoft Office™, OpenOffice, pdf, plain text, html or zip format.

You undertake to procure the Students to agree that: (i) the Student Work may be subject to submission for textual similarity review to University for the detection of plagiarism; and (ii) all the Student Work will be reproduced and included as source documents in VeriGuide™ Database solely for the purpose of detecting plagiarism of other work submitted to VeriGuide™ in the future .

If you wish VeriGuide™ to compare the Student Work against any Online Journals, you are responsible for taking out licenses for such purposes and providing University with the required user ID and password for access to such Online Journals. You acknowledge that no similarity check will be performed against any Online Journals without such licenses.

University will issue an originality report in respect of Student Work ("Report") submitted under this Agreement. The originality reports ("Report") provided by VeriGuide™ is the result of similarity check made by the VeriGuide™ system on the Internet, VeriGuide™ Database and, where applicable, Online Journals, at a particular time. The third party source materials available for search may vary from time to time and may not be complete, true, accurate or current. Given such limitations, all Reports generated by VeriGuide™ are necessarily approximate in nature rather than conclusive on the issue of plagiarism. You are therefore required to review the Student Work and the relevant source materials to make your own assessment. University makes VeriGuide™ available on the understanding that you exercise your own skill, care and judgment with respect to its use. Before relying on the Report, you should carefully evaluate the completeness, accuracy and relevance of such data for your purposes.

Indemnification

You hereby waive and agree to indemnify, defend, and hold harmless University, its respective trustees, directors, employees, agents, subcontractors, and students ("Indemnitees") from any liability, damage, loss, or expense (including reasonable attorneys' fees and expenses of litigation) incurred by or imposed upon the Indemnitees or any one of them in connection with any claims, suits, actions, demands, or judgments arising out of or connected with this Agreement.

Modifications

University may, in its sole discretion and without prior notice to you, modify the database, functionality, presentation or information of VeriGuide™. University will not be responsible for any effects such modification may have on you or your use of VeriGuide™.

Amendment

University reserves the right from time to time and without notice to make changes to this Agreement as University deems fit. Notice of any change will be posted on the ‘Terms of Use' page of VeriGuide™ and you are responsible for regularly reviewing these terms and conditions. Continued use of VeriGuide™ after notice of change shall constitute your agreement to be bound by such new terms.

Links to Other Web Sites

The Report contains links to other Web sites. University is not responsible for the content, accuracy or opinions expressed in such Web sites, and such Web sites are not investigated, monitored or checked for accuracy or completeness by University. Inclusion of any linked Web site on the Report does not imply approval or endorsement of the linked Web site by University. If you decide to leave the VeriGuide™ system and access these third-party sites, you do so at your own risk.

Collection of User Information and documents

Broadly speaking, VeriGuide™ uses information, documents and materials supplied by VeriGuide™ User for purposes of conducting similarity check, compiling VeriGuide™ Database and generating Reports for VeriGuide™ Users. Occasionally, University may also use the information it collects to notify you about important changes to VeriGuide™, new services and special offers University thinks you will find valuable.

University uses web site browser software tools such as cookies and web server logs to gather information about its users' browsing activities in order to constantly improve VeriGuide™ and better serve its users. This information assists University to design and arrange its web pages in the most user-friendly manner and to continually improve VeriGuide™ to better meet the needs of VeriGuide™ Users and prospective users.

By using VeriGuide™, you consent to University's collection and use of your information as described in this Agreement.

Restriction on Use of Name

No right or licences are granted by University to you expressly or by implication to use the name or mark "VeriGuide™" or the name or any trade mark, service mark, trade name or symbol of The Chinese University of Hong Kong or any of its employees in any advertising or promotional materials, public relations activities or other materials or activities or in connection with your products or business without University's prior written consent.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong SAR, excluding conflict-of-law principles that would cause the application of the laws of any other jurisdiction. You hereby submit to the non-exclusive jurisdiction of the courts of Hong Kong SAR.
